Hugh Jory KC is a leading commercial silk handling complex commercial litigation. He specialises in commercial disputes, including those based on serious allegations of dishonesty and fraud, company law and in particular shareholder disputes, as well as claims in relation to confidential information and restrictive covenants, shareholder and share purchase agreements and claims arising out of them, insolvency and restructuring. In addition to his advisory and trial work, he is regularly instructed to act at short notice in relation to injunctions.
Hugh’s previous career and qualification as an investment analyst at a merchant bank in the City gave him particular familiarity with company reports and accounts and of share valuation which is of particular relevance to shareholders’ unfair prejudice petitions and to claims for breach of warranty arising from share purchase agreements.

Hugh is an experienced advocate whose practice includes taking on some of the most complex and hard fought litigation in the Chancery and commercial courts.
His expertise and trial experience covers issues such as dishonesty, deceit, conspiracy, misrepresentation and knowing receipt where as a former investment analyst in the City his ability to understand financial products, and to interrogate complex financial accounts and data, comes to the fore. His commercial and financial background before coming to the Bar is also particularly suited to claims for breaches of warranties in Share Purchase Agreements.
Much of his work concerns substantial shareholder disputes and derivative claims. He has acted for and against private equity investors in shareholder disputes, in disputes about the ownership of football clubs and in relation to family companies, including farming businesses, as well as for shareholders who formed companies together as business partners.
He has considerable expertise in relation to claims against directors, including disqualification proceedings. He acts in claims for breaches of directors’ duties, including claims relating to distributions of dividends, as well as in proceedings (including injunctive proceedings) relating to breaches of restrictive covenants in share sale and employment contracts and claims relating to mis-use of confidential information.
Hugh also has a specialism as regards claims relating to banking issues and financial instruments such as guarantees and bonds.
Hugh is regularly instructed in relation to interim injunction applications including freezing orders, and for other relief including in the context of misuse of confidential information and restrictive covenants in employment contracts and SPAs.

Hugh has particular expertise in company law and especially where it relates to shareholder disputes, claims relating to the conduct of directors as fiduciaries, conduct inconsistent with the constitution of the company, and where such claims arise in the context of insolvency.
He is particularly well versed after decades of experience in the strategic considerations to be applied in advising clients facing shareholder disputes including in the context of family companies, companies whose shareholders include private equity investors, quasi-partnership situations including exclusions from management.
Hugh is also instructed in partnership disputes particularly those involving solicitors’ firms (including LLPs), farms and other professional partnerships as well as disputes concerning franchise and business sale agreements.

Hugh is a leading silk in this area with considerable experience across the full spectrum of insolvency law.
Over his career he has acted in some of the most important insolvency cases over the last two decades including (a) the important Court of Appeal decisions in Hollicourt v Bank of Ireland [2001] Ch 255, and Re: Mumtaz Properties [2012] 2 BCLC 109 which are still leading authorities in relation to claims against banks pursuant to s.127 Insolvency Act 1986 and burdens of proof in claims against directors where company books and records are incomplete and (b) the successful strike out including on appeal in relation to the wrongful trading claim against former director clients in Johnson v Beighton [2019] EWHC 895 (Ch) .
He was also instructed to obtain one of the (then) new Special Administration Orders in the light of the Lehman Brothers collapse in respect of a leading stockbroking firm, by reason of his former career in investment banking which equipped him with expertise in insolvency and financial literacy.
He acts regularly for insolvency practitioners in claims against former directors, as well as for directors in defending claims brought against them. He also advises insolvency practitioners as to their duties and where appropriate in respect of applications to court for directions.
